On May 9, 2024, Land & Buildings Investment Management LLC announced that it has commented on supplemental proxy statement filed by the National Health Investors, Inc, stating that the Company disclosed that the Board of Directors has committed to putting up for vote a proposal to remove the classified board structure at Company?s 2025 annual meeting of shareholders, adding a director to the Board following a search process overseen by the Company, and further evaluating the composition of the Board and director term limits/age requirements. In addition, Land & Buildings Investment Management stated that if the Company board is serious about improving governance and beginning to allay shareholder concerns, it should 1) commit to fully de-staggering the Board no later than the 2025 Annual Meeting, 2) commit to working directly with shareholders to identify the new director. Further, Land & Buildings Investment Management stated that it intends to vote against the company board directors Robert Webb and Charlotte Swafford, at the 2024 annual meeting of shareholders scheduled to be held on May 22, 2024, and Land & Buildings Investment Management mentioned that in order for the Company to live up to its substantial potential for shareholders, Company?s Board must begin to embrace real change, until that happens, it will continue to advocate for the best interests of its fellow shareholders through all means available to it.
