The executive officers, directors and the holders of all of capital stock are subject to lock-up agreements that restrict their ability to transfer shares of capital stock for 180 days from the date of this prospectus. Subject to certain exceptions, the lock-up agreements limit the number of shares of capital stock that may be sold immediately following this offering.
