UNIEURO S.P.A.: THE BOARD OF DIRECTORS TAKES NOTES OF

VOLUNTARY TENDER AND EXCHANGE OFFER LAUNCHED

BY FNAC-DARTY AND RUBY EQUITY INVESTMENT S.À R.L.

Forlì, 16 July 2024 - Unieuro S.p.A. ("the "Company") (Euronext STAR Milan: UNIR), a leading distributor of consumer electronics and household appliances in Italy, announces that, following today's dissemination of the notice by Fnac-Darty SA and RUBY Equity Investment S.à r.l. pursuant to Article 102 of Legislative Decree. 58/1998, as subsequently amended and supplemented, and Article 37 of the Consob Regulation No. 11971/1999, as subsequently amended and supplemented, in relation to the voluntary tender and exchange offer on all the Company's shares, the Board of Directors immediately met, under the chairmanship of Stefano Meloni, to take note of this notice.

The Board of Directors reserves the right to make any assessment in this regard and, once it has acquired the necessary information, will take the relevant resolutions within the timeframe provided by the applicable regulations.
