UNIEURO S.P.A.: PUBBLICAZIONE DELLO STATUTO SOCIALE AGGIORNATO

Forlì, 12 gennaio 2021 - Unieuro S.p.A. (MTA: UNIR) rende noto che in data odierna è stato messo a disposizione del pubblico presso la sede legale, sul sito internet della Società (www.unieurospa.com, sezione Corporate Governance / Documenti societari e procedure) nonché presso il meccanismo di stoccaggio autorizzato eMarket STORAGE (www.emarketstorage.com), lo Statuto sociale aggiornato - anche con evidenza delle modifiche apportate all'articolo 6 - iscritto presso il Registro delle Imprese di Forlì-Cesena e Rimini in data 8 gennaio 2021.

Si precisa che lo Statuto pubblicato in data odierna recepisce sia la modifica approvata dall'Assemblea Straordinaria del 17 dicembre 2020 relativa all'attribuzione della facoltà al Consiglio di Amministrazione di aumentare a titolo gratuito il capitale sociale a servizio del nuovo Piano di Performance Share 2020-2025, sia la parziale esecuzione dell'aumento di capitale sociale a servizio del Piano di Stock Option 2018-2025, deliberato dall'Assemblea Straordinaria della Società del 6 febbraio 2017 e la conseguente variazione del capitale annunciata al mercato con comunicato stampa del 7 gennaio 2021.

UNIEURO S.P.A.: PUBLICATION OF UPDATED ARTICLES OF ASSOCIATION

Forlì, 12 January 2020 - Unieuro S.p.A. (MTA: UNIR) announces that today the updated Articles of Association, registered with the Companies' Register of Forlì-Cesena and Rimini on 8 January 2021, were made available to the public at the registered office, on the Company's website (www.unieurospa.com, section Corporate Governance / Corporate documents and procedures) and - including the amendments made to Article 6 - at the authorised storage mechanism eMarket STORAGE (www.emarketstorage.com).

It should be noted that the Articles of Association published today incorporate both the amendment approved by the Extraordinary Shareholders' Meeting of 17 December 2020 relating to the granting of the power to the Board of Directors to increase the share capital free of charge to service the new 2020-2025 Performance Share Plan, and the partial execution of the share capital increase to service the 2018-2025 Stock Option Plan, approved by the Company's Extraordinary Shareholders' Meeting of 6 February 2017 and the consequent capital change announced to the market in a press release of 7 January 2021.
