Year.
On January 12, 2022, TPG Inc. (the "Company") converted from a limited liability
company to a Delaware corporation and filed a certificate of incorporation (the
"Certificate of Incorporation") with the Secretary of State of the State of
Delaware and adopted bylaws (the "Bylaws"), each of which became effective on
January 12, 2022.
Please see the descriptions of the Certificate of Incorporation and the Bylaws
in the section titled "Description of Capital Stock" in the Company's final
prospectus, dated January 12, 2022, filed pursuant to Rule 424(b) under the
Securities Act of 1933, as amended, relating to the Registration Statement on
Form S-1, as subsequently amended, filed on December 16, 2021 (File
No. 333-261681). The foregoing descriptions of the Certificate of Incorporation
