Transaction of shares by entity closely associated with directors
Under the terms and for the purposes of the applicable legal and regulatory provisions, we hereby disclose the contents of the communication received from "TEIXEIRA DUARTE 1886, S.A.", reproduced here below:
In accordance with the provisions of the Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014, "Teixeira Duarte 1886, S.A." is a closely associated entity with the Directors of "Teixeira Duarte, S.A." Manuel Maria Calainho de Azevedo Teixeira Duarte and Isabel Maria Nunes Correia Teixeira Duarte since they are also Directors of Teixeira Duarte 1886, S.A. itself.
Considering the foregoing, it is following those regulations and with number 1 of Article 29-R of the "Código de Valores Mobiliários" and with other applicable laws, that Teixeira Duarte 1886, S.A. hereby informs that, on 21st June 2024, it has entered an exchange of shares, through which it sold 1,419,000 shares representing the share capital of "Teixeira Duarte, S.A." to the company MIDINVEST - GESTÃO E INVESTIMENTOS, SOCIEDADE UNIPESSOAL LDA - shareholder of Teixeira Duarte, 1886, S.A. - and, in exchange, acquired 129,000 registered shares representing the share capital of TEIXEIRA DUARTE 1886, S.A.
The exchange of the 1,419,000 shares of "Teixeira Duarte, S.A." by Teixeira Duarte 1886, S.A. is reported to you under the terms of the "template for notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them", drawn up in accordance with Commission Implementing Regulation (EU) 2016/523 of 10 March 2016, attached hereto.
We further inform that, after the exchange operation, Teixeira Duarte 1886, S.A. held, on the 21st of June 2024, 160,366,000 shares of "Teixeira Duarte, S.A.", corresponding to 38.18% of the voting rights in the respective share capital. Notwithstanding that, under the terms and for the purposes of article 20 of the "Código de Valores
