Stagecoach Group plc (the "Company") makes the following notification under
Disclosure and Transparency Rule 3.1.4.


Yorkshire Building Society (the "Trustee"), as the trustee of the Company's HM
Revenue and Customs approved Stagecoach Group plc 2011 Share Incentive Plan (the
"Plan"), has notified the Company that on 3 January 2012 it purchased ordinary
shares of 125/228(th)p each in the capital of the Company on behalf of, and
awarded Matching Shares to, the following persons discharging managerial
responsibility. The number of shares purchased and number of matching shares
awarded under the Plan on 3 January 2012 is shown below. The table also includes
the resulting total holding of ordinary shares in Stagecoach Group plc and the
percentage of the issued share capital represented by such holding for each such
person discharging managerial responsibility following these transactions.
