Reference is made to the circular issued by the Company on 28 November 2012.
(A) The shareholders of the Company approved the following resolutions, among others, at the EGM held on 21
December 2012:
(i) Share Consolidation
(ii) Capital Reduction
(iii) Increase in Authorised Share Capital
(iv) Rights Issue - no less than 468, 798,074 new Adjusted Shares or no more than 493,294,716 new Adjusted
Shares will be issued
Items (i), (iii) and (iv) above are conditional upon the Capital Reduction becoming effective, which is subject
to, among others, the approval of the Grant Court of the Cayman Islands. The Capital Reduction has not been
effective at the end of this month.
(B) The number of outstanding options and/or the subscription price will be adjusted in accordance with the
Share Option Scheme as a result of the Share Consolidation, the Capital Reduction and the Rights Issue, if and
when necessary.
(C) The numbers of issuable pursuant to convertible bonds and warrants and the conversion price or subscription
price (as appropriate) will be adjusted to reflect the Share Consolidation, the Capital Reduction and the Rights
Issue, if and when necessary.
