EXERCISE OF THE SIT WARRANTS

Padua, January 3rd, 2022 - SIT S.p.A. ("SIT", or the "Company") informs that, pursuant to and for the purposes of article 3.1 of the SIT Warrant Regulation (the "Warrant Regulation"), the Monthly Average Price (as defined in the Warrant Regulation) for the month of December 2021 is equal to EUR 10,3546 (source: "Bloomberg"), higher than the Strike Price of EUR 9,30.

Therefore, the Exercise Ratio (as defined in the Warrant Regulation) for the month of January 2022 is equal to 0,1028.

Pursuant to article 3.4 of the Warrant Regulation, subscription requests shall be submitted by the last day of the month of January 2022 to the intermediary participant to Italian CSD Monte Titoli where SIT warrants are managed.

The shares resulting from the SIT warrant exercise will be made available for trading, via Monte Titoli, on the settlement day following the end of the month of January 2022.

SIT also reports that in the course of December 2021 exercise requests were received for a total of n. 140.000 SIT warrants. As a result, the Company issued n. 20.650ordinary shares, for a counter-value of EUR 2.065,00 as set down in the Warrant Regulation.

As a result of the exercise of the SIT warrants, SIT's new registered capital is equal to EUR 96.162.195,00 divided in n. 25.110.209 ordinary shares, all of which without nominal value.
