SimmTech Co., Ltd. (KOSDAQ:A222800) agreed to acquire an additional 86.6% stake in STJ Holdings Co., Ltd. from Value Plus 50th Inc. and Value Plus the 42nd Co., Ltd. for KRW 20.1 billion on December 22, 2017. As per terms, additional 0.175 million shares will be acquired. Post completion, SimmTech Co., Ltd. will hold 0.192 million shares in STJ Holdings Co., Ltd. The consideration will be financed from internal reserved cash and SimmTech Co., Ltd. has also raised KRW 20 billion for equity expansion of STJ Holdings Co., Ltd. For the year ended December 31, 2016, STJ Holdings Co., Ltd. reported total assets and net assets of KRW 10.5 billion and net loss of KRW 55 million. The Board of Directors of STJ Holdings Co., Ltd. resolved the deal on December 22, 2017. The deal is expected to close on December 22, 2017.

The Companyâs product portfolio consists of memory module PCB, dual inline memory module (DIMM) and small outline DIMM (SO-DIMM); mobile phone boards used for mobile phone and mobile Internet device (MID); solid state drive (SSD) module PCB; plastic ball grid array (PBGA) used for microprocessors and controllers; board on chip (BOC) used for mobile devices; flash memory card (FMC); multi-chip package (MCP); chip size package (CSP); flip chip CSP (FC-CSP) and system in package (SiP).
