EXTENSION OF LONG STOP DATE FOR THE ACQUISITION OF THE ENTIRE ISSUED SHARE CAPITAL OF RISE POWER LIMITED

Reference is made to the announcement of the Company dated 12 October 2015 (the "Announcement") in relation to the share transaction as regards the Acquisition under the Sale and Purchase Agreement involving issue of the Convertible Bond. Capitalised terms used herein shall have the same meanings as those defined in the Announcement unless otherwise specified.

As disclosed in the Announcement, the conditions precedent set out in the Sale and Purchase Agreement should be fulfilled on or before 31 December 2015 (or such later date as the parties to the Sale and Purchase Agreement may agree in writing) (the "Long Stop Date").

On 31 December 2015, the parties to the Sale and Purchase Agreement entered into the supplemental agreement to the Sale and Purchase Agreement to extend the Long Stop Date from 31 December 2015 to 30 June 2016 (or such later date as the parties to the Sale and Purchase Agreement may agree in writing).

Save for the aforesaid, all other terms and conditions of the Sale and Purchase Agreement shall remain unchanged and continue in full force and effect.
