MATERIAL FACT
RNI NEGÓCIOS IMOBILIÁRIOS S.A., with head office at Avenida Francisco das Chagas de Oliveira, n° 2500, Higienópolis, in the city of São José do Rio Preto, state of São Paulo ("Company"), hereby informs its shareholders and the market that in light of the new challenges to be addressed, it has made structural changes in the Company's Technical Area as part of the process of restructuring and strengthening corporate governance, measures that have been taken since 2023.
Clovis Antonio Sant'Anna Filho has left the Company. The Board of Directors thanks Clovis for his contribution to the Company's growth and wishes him success in his new challenges.
As part of the restructuring process, the Company's Technical Area has been divided into two areas: (i) Rodrigo Donizete da Fonseca takes over as Technical Executive Officer,
with responsibility for the Planning, Procurement, Projects and Quality areas; and (ii) Douglas Carelli takes charge as Technical Superintendent, with responsibility for the
Company's construction and post-construction areas.
Rodrigo Donizete da Fonseca has solid experience of over 15 years in management, controllership and strategic planning of construction works in the construction sector, most of it at the Company. He returned to the Company in 2022. He holds a civil engineering degree from Faculdades Integradas Dom Pedro II and a graduate degree in controllership and finance from the INPG Business School.
Douglas Carelli has been working at the Company for more than 15 years and has solid experience in management, execution and monitoring of construction works and procurement, having worked in all these areas at the Company during this period. He has a civil engineering degree from Centro Universitário FAG and a graduate degree in Feasibility of Real Estate Projects and Developments from FGV.
Both areas will report directly to the CEO of the Company, Gustavo Félix de Moraes.
These changes underline the Company's commitment to continuously streamline its Technical Area and improve the quality of its construction works in order to ensure its
perpetuity, fulfill the dreams of its clients and the interests of shareholders, especially non-controlling shareholders.
Finally, the Company wishes Rodrigo and Douglas all success in his new challenges.
