Item 5.02. Departure of Directors or Principal Officers; Election of Directors;

           Appointment of Principal Officers.

Effective January 12, 2021, Douglas VanOort resigned as a member of the Board of Directors of BioHiTech Global, Inc. (the "Registrant") and as a Member of the Registrant's Audit Committee. Mr. VanOort did not indicate that his decision to resign was a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.

Mr. Rohleder was appointed to replace Mr. VanOort's vacancy on the Registrant's Audit Committee.
