Item 1.01 Entry into a Material Definitive Agreement.
Business Combination Agreement
As previously disclosed, on May 17, 2022, PropTech Investment Corporation II, a
Delaware corporation ("PTIC II"), entered into a business combination agreement
(as amended by the first amendment, dated as of May 27, 2022, the second
amendment, dated as of July 14, 2022, and the third amendment dated as of
September 7, 2022, and as the same may be further amended, supplemented or
otherwise modified from time to time, the "Business Combination Agreement") with
RW National Holdings, LLC, a Delaware limited liability company ("Renters
Warehouse"), and Lake Street Landlords, LLC, a Delaware limited liability
company, in its capacity as the representative of the certain Renters Warehouse
unitholders (in such capacity, the "Sellers' Representative") pursuant to which
Renters Warehouse and PTIC II entered into a proposed business combination (the
"Business Combination").
On October 15, 2022, PTIC II, Renters Warehouse and the Sellers' Representative
entered into the fourth amendment (the "Fourth Amendment") to the Business
Combination Agreement to, among other things, revise certain provisions of
Appreciate Intermediate Holdings, LLC's amended and restated limited liability
company agreement, and increase the initial number of directors of the combined
company from seven to eight directors.
The foregoing description of the Fourth Amendment is not complete and is subject
to and qualified in its entirety by reference to the Fourth Amendment, a copy of
which is filed with this Current Report on Form 8-K as Exhibit 10.1 and the
terms of which are incorporated by reference herein.

On October 20, 2022, PTIC II posted an investor presentation relating to the
Business Combination with Renters Warehouse, on its website at
