Sub : Outcome of Board Meeting held on 30111 June, 2017

This is to inform that the Board of Directors of the Company at its meeting held on June 30, 2017, has;

I. Extended the term of appointment of Mr. Pramod Chaudhari , Execut ive Chairman (DIN : 00196415 ) for a period of two years with effect from 1st August, 2017 on same terms and cond itions including remuneration subject to the approval of the General Meeting.

2. Decided to convene the Thirty First An nual General Meeti ng of the Company on Friday, the 11th August, 2017.

3 . In continuation of the Board's decision on 24th May, 2017 regard ing recommendation of final dividend, the Register of Members & Share Transfer Books of the Company will remain closed from Friday, the 4th August, 2017 to Friday, the 11th August, 2017 (both days inclusive) for the purpose of payment of dividend, if approved , and for the Annual General Meeting. The recommended dividend, if approved, wou ld be paid on or after 18th August, 2017 to those Members whose names appear in the Registrar of Mem bers on 11th August, 20 I7.
