Item 7.01. Regulation FD Disclosure.
On January 4, 2021, Pennsylvania Real Estate Investment Trust (the "Trust")
received notice from the New York Stock Exchange (the "NYSE") that it has
regained compliance with the NYSE continued listing standard set forth in
Section 802.01C of the NYSE's Listed Company Manual, which requires listed
companies to maintain an average closing price of at least $1.00 per share over
a consecutive 30-day trading period. As previously disclosed, on September 25,
2020, the Trust received notice from the NYSE that it was not in compliance with
that continued listing standard. The Trust had six months from the date of that
notice to regain compliance with the minimum share price requirement. The Trust
regained compliance after the closing price for its common shares on
December 31, 2020 and the average closing price for its common shares during the
30 trading-day period ended December 31, 2020 both exceeded $1.00.
The Trust also remains in compliance with all other applicable NYSE continued
listing standards.

notice from the NYSE is attached hereto as Exhibit 99.1.
