Patrimoine et Commerce SA (ENXTPA:PAT) signed an agreement to acquire 62.48% stake in Foncière Sepric SA (ENXTPA:SPRIC) from Philippe Vergely and Bernard Robbe for €37.9 million on November 5, 2012. Philippe Vergely and Bernard Robbe with their families hold 38.58% and 23.90% of the share capital respectively. The purchase consideration includes - on the one hand, issue of new Patrimoine & Commerce shares on the basis of a ratio of 32 Foncière Sepric shares to 17 Patrimoine & Commerce shares and on the other hand a payment of a balance equal to €0.91 per share. The transaction is subject to approval from the authorities and the relevant employee representative bodies. Patrimoine & Commerce Supervisory Board have approved the planned merger. Emmanuel Dovergne and Alix Heriard Dubreuil of Keima Communication acted as PR advisors to Patrimoine & Commerce and Anne-Pauline Petureaux and Alexandra Prisa of Actus Finance acted as PR advisors to Fonciere Sepric. Pierre Marlier, Françoise Poujetoux, Sébastien Eymard, Stephanie Bergeron, Aminata Sissoko, Alexandra Loubier and Felix Bollaert of Credit Agricole Corporate and Investment Bank acted as financial advisors to Patrimoine et Commerce. Muriel Goldberg-Darmon, Guillaume Guerin, Henry Lazarski, Emeline Peltier and Cécile Szymanski of Sallans acted as legal advisor for Philippe Vergely and Bernard Robbe. Pascale Girard of Villey Girard Grolleaud acted as legal advisor for Patrimoine et Commerce SA.
Patrimoine et Commerce SA (ENXTPA:PAT) completed the acquisition of 61.73% stake in Foncière Sepric SA (ENXTPA:SPRIC) from Philippe Vergely and Bernard Robbe on January 3, 2013. Philippe Vergely has resigned as Chief Executive Officer and Christophe Clamageran, Manager of Patrimoine & Commerce has been appointed as Chief Executive Officer of Foncière Sepric. Eric Duval, Dominique Jouaillec and Christophe Clamageran are named Board members of Foncière Sepric. Philippe Vergely, Bernard Robbe and Philippe Graff were designated as members of the supervisory Board of Patrimoine & Commerce.
Patrimoine et Commerce is a real estate company that owns a portfolio of assets, mainly consisting of retail space located in commercial parks near medium-sized cities.
At the end of 2023, the property portfolio, consisting of 76 assets with a total leasable area of approximately 528,000 m2, amounted, in market value (excluding transfer taxes), to EUR 842.8 million, broken down by type of assets between retail parks (99.7%), shopping malls, offices and business property (0.3%).
