Entreprises minieres du Nouveau-Monde Inc. entered into a letter of intent to acquire Tucson Acquisition Corporation in a reverse merger transaction on June 25, 2012. Under the terms of the agreement, each of the outstanding shares of Nouveau-Monde will be exchanged for 1.5 common shares of New World Mining Enterprises Inc., which is the resulting entity formed from amalgamation, i.e amalco, with a deemed value of CAD 0.27 per Amalco common share, and each common share of Tucson shall be exchanged for one amalco common share and one-half of one share purchase warrant of amalco, each whole share purchase warrant of amalco being exercisable to purchase one amalco common share at a price of CAD 0.30 per share for a period of two years from the closing of the amalgamation. In a related transaction, Tucson completed private placement of units of Nouveau-Monde.

On November 15, 2012, Entreprises minieres du Nouveau-Monde Inc. entered into an amalgamation agreement to acquire Tucson Acquisition Corporation in a reverse merger transaction. Also, Entreprises minieres and Tucson Acquisition filed a joint information circular dated November 20, 2012. As of November 27, 2012, the combined entity will be named as Nouveau Monde Mining Enterprises Inc.

The Board of Directors of Tucson will be replaced to consist of six (6) directors, namely, Eric Desaulniers, Guy Pieschke, Benoit Chotard, Roderick M. Bryden, Jacques Letendre and Alain Lambert, provided TSX Venture does not object to such nominations and such persons are eligible to act as directors pursuant to the requirements of the CBCA. The transaction is subject to the approval by TSX Venture Exchange, the shareholders of Tucson and Entreprises, approval of the Board of Tucson and Nouveau, consummation of due diligence investigation, and exercise of options and warrants.

As of December 21, 2012, the shareholders of Tucson and Nouveau-Monde have approved the transaction. The private placement of Entreprises minieres du Nouveau-Monde Inc. of up to 3.3 million additional Nouveau-Monde units and up to 1.1 million flow-through units of Nouveau-Monde for up to maximum aggregate gross proceeds of CAD 1.4 million has closed.
