CPI Property Group S.A. (XTRA:O5G) made a mandatory public tender offer to acquire remaining 49.91% stake in Nova Re SIIQ S.p.A. (BIT:NR) for €25.9 million on December 9, 2020. Under the terms of transaction, CPI Property will pay to NOVA RE shareholders who tender their NOVA RE shares at an offer price of €2.36, which will be paid to those accepting the offer, the total disbursement will therefore be €25.89946364 million. The offer is not subject to the achievement of a minimum threshold of acceptances. The acceptance period will be from December 14, 2020 to January 8, 2021. CPI Property Group S.A. (XTRA:O5G) acquired 40.42% stake in Nova Re SIIQ S.p.A. (BIT:NR) for €21 million on January 8, 2021. Total 8.9 million shares of Nova Re SIIQ submitted subscriptions. The payment date for the offer is January 15, 2021, unless extended. The reopening of the terms of offer took place on January 18, 2021 and will continue until January 22, 2021. As of January 26, 2021, the Acceptance Period prior to the Reopening of the Terms, 8.9 million ordinary shares of NOVA RE, equal to approximately 40.35% of the Issuer's share capital and to approximately 80.98% of the ordinary shares of NOVA RE subject to the Offer, have been tendered to the Offer - and purchased by CPI Property Group S.A. for a counter value of €21 million. Therefore, at the end of the Offer period (including the Reopening of the Terms), a total of 9.3 million NOVA RE ordinary shares, representing approximately 42.44% of the Issuer's share capital and approximately 85.18% of NOVA RE ordinary shares subject to the Offer, have been tendered to the Offer, for a Consideration of €2.36 per ordinary share and, therefore, for a total counter value of €22 million.

CPI Property Group S.A. (XTRA:O5G) completed the acquisition of 42.5% stake in stake in Nova Re SIIQ S.p.A. (BIT:NR) for €22.1 million on January 22, 2021. As a result of the transaction, CPI Property Group S.A. now owns 92.4% stake in Nova Re SIIQ S.p.A.
