Subject: Conclusion of an agreement concerning assets of a significant value

The Management Board of the company MUZA spółka akcyjna seated in Warsaw ("Issuer") informs that in the performance of a sales agreement of 21st November 2019, which the Issuer communicated in current report No. 43/2019 of 21st November 2019, on 7th January 2020 the Issuer concluded a dispositive contract, under which it transferred onto the buyer (a natural person not affiliated with the Issuer) the ownership of 25/140 share in a developed real estate property located at ul. Nadpiliczna 2,in the city of Spała, Łódź Voivodeship, constituting a plot of land No. 24/26, for which the District Court in Tomaszów Mazowiecki, V (5th) Land and Mortgage Register Division maintains a land and mortgage register Kw No. PT1T/00051784/0. The Issuer is a co- owner of the said property in an 8,759/10,000 proportion (as at the day of conclusion of the dispositive agreement). The dispositive agreement was concluded in connection with the failure to exercise the right of pre-emption by State Forests acting for the State Treasury.

In the dispositive agreement, the parties confirm that prior to the conclusion of the sales agreement the buyer had paid the Issuer a sales price of PLN 2,500,000 gross (two million five hundred thousand zloty). The sale is subject to VAT exemption.

The parties concluded an agreement, in the form of a notarial deed, regulating their mutual relationships as co-owners of the property referred to in current report No. 43/2019 of 21st November 2019.
