Item 8.01. Other Events
On January 21, 2021, Murphy USA Inc. ("Murphy USA") issued a press release to
announce a private offering of senior notes (the "Notes") by its wholly owned
subsidiary, Murphy Oil USA, Inc. The Notes will be guaranteed on a senior
unsecured basis by Murphy USA and by certain of Murphy USA's domestic
subsidiaries. Murphy USA intends to use the net proceeds from the offering to
finance, in part, its acquisition of Quick Chek Corporation ("QuickChek"). If
the QuickChek acquisition is not consummated, Murphy USA will use the proceeds
from this offering for general corporate purposes, which may include funding
future acquisitions.
The Notes will not be registered under the Securities Act of 1933, as amended
(the "Securities Act"), or any state securities laws, and may not be offered or
sold in the United States absent registration or an applicable exemption from
registration under the Securities Act or any applicable state securities laws.
The Notes will be offered only to persons reasonably believed to be qualified
institutional buyers under Rule 144A under the Securities Act and to certain
non-U.S. persons in transactions outside the United States in compliance with
Regulation S under the Securities Act. A copy of the press releases is attached
hereto as Exhibit 99.1 and is incorporated herein by reference.
