MAASH appointed purchaser of the assets and activities

of METEX NØØVISTA by the Commercial Court

Clermont-Ferrand,June 26, 2024 - (FR0004177046 METEX), METabolic EXplorer (METEX), leader in industrial fermentation for the production of natural ingredients for the animal feed, cosmetics and biopolymers markets, announces that on June 25, 2024, the Paris Commercial Court appointed MAASH as purchaser of the assets and activities of its subsidiary METEX NØØVISTA.

As a reminder1, on 25 March 2024, the Court granted the application to open insolvency proceedings in favour of METEX NØØVISTA, the Group's operating subsidiary which runs an industrial site at Carling (Moselle).

As part of these receivership proceedings, the receivers received two takeover offers for the assets and activities of METEX NØØVISTA.

On 3 June 2024, the Court examined (i) MAASH's offer to take over METEX NØØVISTA as part of a disposal plan and (ii) the conversion of METEX NØØVISTA's insolvency proceedings into a judicial liquidation.

By judgment dated 25 June 2024, the Court approved the plan to sell METEX NØØVISTA's assets to

MAASH.

The Court's decision on the application to convert METEX NØØVISTA's insolvency proceedings into compulsory liquidation is expected in the coming days.

In addition, in the context of the receivership proceedings initiated in favour of METabolic EXplorer and its subsidiary METEX NØØVISTAGO, hearings to examine Avril's takeover offer for the activities and assets of these two companies and applications to convert the receivership proceedings into liquidation are due to be held at the beginning of July.

The suspension of trading in METabolic EXplorer shares is maintained.

Investors' attention is drawn to the fact that, given the amount of the group's liabilities, the proceeds from the sale of the activities of the three companies in the group will not enable a

payment to be made to the shareholders of METEX NØØVISTAGO and METEX NØØVISTA and, more generally, to those of METabolic EXplorer and, once their activities have been sold to the purchaser, each of these legal entities will ultimately have to be judicially wound up.
