FFT Notice that Offer has been Freed from Conditions

MaxSec Group Limited (ACN 000 029 265) (MaxSec) refers to the target's statement of MaxSec dated 18 October 2017 (Target's Statement) in response to the off-market takeover bid by Future Fibre Technologies Limited (ACN 064 089 318) (FFT) for all the issued ordinary shares in MaxSec (Bid). The Bid was made pursuant to a bid implementation agreement entered between MaxSec and FFT on 24 August 2017 (BIA).

We attach a notice that the offers under the bid have been freed from all defeating conditions under section 6SOF(l) of the Corporations Act which was served by FFT on MaxSec under section 6SOF(3)(a) Corporations Act 2001 (Cth) (Corporations Act).

Future Fibre Technologies Limited ACN 064 089 318 (Bidder) has made offers under an off­ market takeover bid for all the ordinal}' shares in MaxSec Group Limited (Offers). The Offers are contained in a bidder's statement dated 18 October 2017 (as amended and supplemented by the supplemental}' bidder's statement dated 2 November 2017) (Bidder's Statement).

The Bidder gives notice under section 650F(1) of the Corporations Act 2001 (Cth) that:

1. the Offers are free from all conditions set out in clause Schedule 2 of its Bidder's Statement; and

2. the Bidder's voting power in MaxSec Group Limited is 55.811%. Dated: 29 November 2017
