Item 8.01. Other Events.

On January 21, 2022, Lumentum Holdings Inc. ("Lumentum") and NeoPhotonics Corporation ("NeoPhotonics") issued a joint press release announcing that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, has expired with respect to the proposed acquisition of NeoPhotonics by Lumentum pursuant to that certain Agreement and Plan of Merger, dated November 3, 2021 (the "Merger Agreement"). The consummation of the transaction remains subject to other customary closing conditions set forth in the Merger Agreement, including approval of NeoPhotonics' stockholders and approval from the State Administration for Market Regulation (SAMR) of the People's Republic of China.
