La Doria S.p.A. - Co-option of new Director

Angri, January 28, 2020 - The Board of Directors of La Doria S.p.A., meeting today and on the indication of Chairperson Antonio Ferraioli - based on the Shareholder Agreement signed by members of the Ferraioli family, majority shareholders of La Doria S.p.A., on 25.09.1995, as latterly amended on 01.03.2016 - and with the favourable opinion of the Remuneration and Appointments Committee and the Board of Statutory Auditors, co-opted Teresa Maria Rosaria Ferraioli as a new non-executive and non-independent member of the Board of Directors, replacing Iolanda Ferraioli, who resigned as a non-executive and non-independent director on January 7, 2020 for personal reasons. This co-option also ensures compliance with the gender equality rules.

On the basis of the information available to the company, the appointed Director holds 2,683,686 La Doria S.p.A. shares, equal to 8.6570% of the share capital, which are covered by the Shareholder Agreement, noted as per Article 122 of Legislative Decree 58/98, signed on 25/08/1995 and latterly amended on 4/03/2016, concerning a total of 19,530,000 shares and equal to 63% of the company's share capital.

The co-option on the new Board member, who will remain in office until the next Shareholders' Meeting of the company, was in line with the statutory provisions and the By-Laws. As there are no additional "unelected" candidates from the only Slate presented by the majority shareholders at the Shareholders' Meeting of 16/06/2017 which appointed the new Board of Directors, the slate voting mechanism was not required for the co-option.

Revenues in 2018 totalled Euro 687.9 million, of which 95% generated by the private label segment (retail chain brands), with customers such as Carrefour, Auchan, Selex and Conad in Italy and Tesco, Sainsbury, Morrisons and Waitrose on foreign markets, which represent the main commercial outlet for the Group.
