5.Cause of occurrence:Announcement on Merge & Acquisition Matters Pursuant to
Article 33 of the Business Mergers And Acquisitions Act.
(1)Summary of resolution adopted by the shareholders' meeting or the Board
of Directors�GThe Company plans to sign a share swap agreement with China
Development Financial Holding Corporation(hereinafter as ��CDF��) in
consideration of the Company's long-term development goals. After the share
swap has been completed,the Company will become a 100% owned subsidiary of
CDF.
The consideration for the conversion is one common share of the Company
for 0.80 common shares and 0.73 preferred shares of CDF and NT$11.5 in
cash.
(2)Transfer of shares shall be executed on the record date of the share
swap:The record date for the share swap is December 30, 2021.
(3)Shareholders shall file the shares in their possession with the Company
one day before the record date (Dec 29,2021) of the share swap. Shares not
filed shall become null and void. Shareholders that possess shares on
scripless form do not need to file their shares with the Company one day
before the record date of share swap.
