KeyHolder, Inc. (TSE:4712) entered into an agreement to acquire Part of the Internet Advertising Business and Internet Media Business of Forthree, Inc for ¥161.01945 million on May 13, 2022. For the year ended June 2021, the business reported ¥2883 million revenue. The transaction is expected to close on July 2022. As of June 17, 2022, KeyHolder board of directors meeting held and decided to take over from the initially envisioned business acquisition through a company split (absorption-type split) in which the KeyHolder shares are the consideration, and resolved to conclude an absorption-type split agreement. KeyHolder plans to deliver 0.2998 million shares of the KeyHoldercommon stock to Forthree in consideration of the absorption-type company split. In addition, no money will be delivered through the absorption-type split.
KeyHolder,Inc. is a Japan-based holding company mainly engaged in comprehensive entertainment business and real estate business. The Company operates three business segments. The General Entertainment segment operates live event spaces, produces TV programs, and operates and manages the business of talents and idols. The Real Estate segment is engaged in the development, sale and leasing of detached houses, condominiums, used houses and other real estates for individuals and companies. The Commercial Building segment designs and constructs various commercial facilities, including pachinko halls, KARAOKE shops, and restaurants.
