Beijing Guanghe Real Estate Company Limited agreed to acquire Inner Mongolia Jinyu Property Co., Ltd. from Inner Mongolia Jinyu Group Co Ltd (SHSE:600201) for approximately CNY 190 million on December 28, 2012. Beijing Guanghe Real Estate Co., Ltd will pay CNY 10 million as contracting deposit within 5 working days after the signing of the equity transfer agreement, will pay CNY 89.25 million within 5 working days that the acquirer received the confirmation on the fulfillment of delivery conditions and payment notice, and will pay remaining CNY 95.35 million within 5 working days after closing of transaction. For the nine months ended September 30, 2012, Inner Mongolia Jinyu Property Co., Ltd. reported total assets of CNY 721.59 million, total liabilities of CNY 606.39 million, net assets of CNY 115.2 million, revenue of 74.13 million and net profit of CNY 0.98 million.

The Board of Inner Mongolia Jinyu Group approved the transaction on December 28, 2012. Further the transaction will be discussed in the shareholders meeting of Inner Mongolia Jinyu Group on January 22, 2013. As on January 22, 2013, the transaction was approved by the shareholders of Inner Mongolia Jinyu Group.
