Completion of US$250 Million Issue of Private Placement Loan Notes
Jardine Lloyd Thompson Group (JLT) is pleased to announce the successful completion of a US$250 million issue of private placement loan notes with institutional investors. The unsecured loan notes were issued by JLT's wholly owned subsidiary, JIB Group Ltd, mainly to existing investors and consist of US$40 million 7 year notes with a coupon of 3.21%; US$140 million 10 year notes with a coupon of 3.78%; and US$70 million 12 year notes with a coupon of 3.93%.
The proceeds of the private placement have been swapped into sterling at floating and fixed rates and will be used to refinance existing shorter term borrowings under the Group's revolving credit facilities with its relationship banks. At 23 January 2013 the Group has unsecured committed debt facilities totalling approximately £500 million.
The transaction follows the Group's previous private placement issue of US$125 million of loan notes in 2010.
The issue was well received by the Group's private placement investors and was significantly oversubscribed. Barclays Capital and HSBC acted as joint agents and bookrunners.
Michael Reynolds, Group Finance Director commented:
'We are delighted with the success of this transaction and with the positive response from our investors, which reflects the continued strength of JLT's business and credit profile. This second private placement issue further demonstrates the confidence of our debt investors in JLT and secures additional committed longer-term funding for the Group. This provides additional headroom and flexibility to support our ongoing growth as we continue to implement our strategy'.
