2015 Insetco AGM Minutes

Dear Shareholder

Please find available for your review the minutes to the Insect Plc AGM which took place at The Bedfordshire Golf Club on Friday 26th June 2015.

Only 3 Shareholders attended & the Chairman had 10 proxies.

This was disappointing because after the meeting I wanted to discuss the way forward with you.

Consequently, very soon I will be publishing what the Board consider to be the best way forward.

At that time you will have to decide if you want to get Insecto re-listed.

If you do, this means that the company will need to raise more capital to get that new market listing.

After consulting advisers, we believe the most viable & effective choices are;

  1. ISDX market - a listing will cost about £100-£150k
  2. AIM market - a listing will cost about £500k
  3. On top of this if we are prudent & say allow 1 year to of running costs we can add about another £125k-£150k.

When I write to soon you will be asked to choosewhat you want to do in this regard & what the consequences are if you chose no re-listing.

Meanwhile we are still hopeful that PPP will bear fruit but as yet we have not received any commissions. We are also still hopeful that our relationship with Windsor Financial Group will develop but today it has been slower than expected.

The reason we think anre-listing is essential is that we need to find alternative sources of revenue, being listed is a big plus for this strategy. To re-list takes time & we must keep the company running meanwhile.
