On January 19, 2021, Illinois Tool Works Inc. (the "Company") issued a press
release announcing the entry into an agreement with Amphenol Corporation
("Amphenol"), whereby the Company will acquire the Test & Simulation business of
MTS Systems Corporation ("MTS") following the closing of Amphenol's acquisition
of MTS. A copy of the press release is attached hereto as Exhibit 99.1 and
incorporated by reference herein.
