Himalaya Technologies, Inc. (OTCPK:HMLA) agreed to acquire OTC.WATCH LLC on September 17, 2021. The consideration will be paid via issuance of Series B Preferred shares convertible into 20% of the fully diluted shares of Himalaya Technologies, Inc. or approximately 0.084 million Series B Preferred shares. In a related deal, Himalaya Technologies, Inc. agreed to acquire 19.99% stake in GenBio Inc. on September 17, 2021. Post-completion, OTC.WATCH LLC will be run as a wholly owned subsidiary with a drop-down into Kanab.Club. The transaction is subject to consummation of due diligence.

Himalaya Technologies, Inc. plans to complete its social site Kanab.Club targeting health and wellness focused on the cannabis market, providing advertising and subscription services, and incorporating social media sites into the site. The Company is engaged in marketing its planned social sites, including Goccha.net and Yinzworldwide.com. It has one wholly owned subsidiary, KANAB CORP. and has one investment, Peer to Peer Network, Inc. (PTOP). Its subsidiary, KANAB CORP., is a development stage company targeting information services for the cannabis industry using its social site Kanab.Club (https://kanab.club/). It does not offer e-commerce services at this time or touch the cannabis plant.
