Grupo Modelo S.A.B. DE C.V. Anheuser-Busch InBev and Constellation Brands Announce Revised Agreement Mexico City, February 14, 2013. Grupo Modelo, S.A.B. de C.V. (Grupo Modelo) and Subsidiaries (BMV: GMODELO), the leader in Mexico in beer production, distribution and marketing, announced that the Company was informed that Anheuser-Busch InBev (AB InBev) (Euronext: ABI) (NYSE: BUD) and Constellation Brands, Inc. (Constellation) (NYSE: STZ, STZ.B) today announced a revised agreement that establishes Crown Imports as the #3 U.S. marketer of beer through a complete divestiture of Grupo Modelo's U.S. business. The revised agreement also contemplates the sale of the Compañía Cervecera de Coahuila brewery to Constellation Brands.

This agreement remains conditioned on the completion of the transaction between Grupo Modelo and AB InBev, as well as regulatory approvals in the U.S. and Mexico, among other closing conditions.
The terms of this agreement do not modify the combination between AB InBev and Grupo Modelo, under which AB InBev will acquire the remaining stake in Grupo Modelo that it does not already own for USD $9.15 per share in cash in a transaction valued at USD $20.1 billion.
