GREIF NIGERIA : 84TH POST AGM RESOLSUTION

RESOLUTIONS PASSED AT THE 83RD ANNUAL GENERAL MEETING OF GREIF NIGERIA PLC

At the 83rd Annual General Meeting (AGM) of Greif Nigeria Plc (the Company) which held at NECA HOUSE (Main Auditorium), Plot A2, Hakeem Balogun Street, Central Business District, Alausa, Ikeja, Lagos on 31st January, 2022, shareholders duly passed the following resolutions tabled at the AGM:

1. Laying of the Annual Report and Accounts for the year ended 31st October, 2020 before the meeting;
2. Re-electionof Mr. Gaius A. Omotayo as a Director of the Company;
3. Disclosure of the Remuneration of Managers;
4. Authorising the Directors to fix the remuneration of the Company's External Auditors,
   Ernst & Young;
5. Constituting Mr. David O. Oguntoye, Elder Lady A. Shoewu, JP, and Alh.Kolawole
   Saka (representing the Shareholders) as well as Mr. G.A. Omotayo and Mr. Erik 't Sas
   (representing the Board) as members of the Statutory Audit Committee of the Company till the next Annual General Meeting.
6. Approval of the Directors' Fees of N180,000.00 for the year ended 31st October, 2020; and
7. Approval of the meeting as the 2021 Annual General Meeting of the Company.
