Item 8.01 Other Events.

On January 24, 2020, FNCB Bancorp, Inc. ("FNCB") issued a press release announcing that the Board of Directors of FNCB on January 22, 2020 declared a dividend of $0.055 per share for the first quarter of 2020. The dividend is payable on March 16, 2020 to common shareholders of record as of March 2, 2020. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
