                      Transfer of shares held in treasury 
 
FirstGroup plc ("the Company") announces that on 24 January 2012 it transferred 
to participants in the Company's employee SAYE scheme 542 ordinary shares (370 
ordinary shares for the early exercise of options under the SAYE 2009 scheme at 
a price of 310 pence per share and 172 ordinary shares for the early exercise 
of options under the SAYE 2010 scheme at a price of 319.04 pence per share). 
The shares were all formerly held as treasury shares. 
 
Following the above transfer of shares out of treasury, the Company holds a 
total of 263,732 of its ordinary shares in treasury. The total number of 
ordinary shares in issue excluding treasury shares is 481,803,438.
