FinecoBank: Director's co-optation pursuant to sec. 2386 of the Italian Civil Code and assessment of the relevant requirements

Milan, March 16, 2021

FinecoBank informs that in its today meeting the Board of Directors co-opted, pursuant to sec. 2386 of the Italian Civil Code and sec. 13 of Articles of Association - further to the favorable opinion of the Appointments Committee and the resolution of the Board of Statutory Auditors -, Mrs. Alessandra Pasini as new non-executive Company Director, replacing Mr. Andrea Zappia who resigned on 1 March 2021. Mrs. Alessandra Pasini's curriculum vitae will be available on the FinecoBank website (www.finecobank.com).

The selection of Ms. Alessandra Pasini took place on the basis of the "Process for the selection of candidates for the office of Chairman, Chief Executive Officer and member of the Board of Directors" (which can be consulted on the Bank's website as Appendix B of the Regulation of the Corporate Bodies of FinecoBank S.p.A.).

Taken into account the statements made and the documentation provided by Mrs. Alessandra Pasini, the Board of Directors in the same meeting - after preliminary evaluation of the Appointments Committee - assessed the requirements for Mrs. Alessandra Pasini as prescribed by the applicable law, Articles of Association and the internal rules concerning the role of director in FinecoBank.

The Board of Directors assessed the possession of the integrity, professionalism and independence requirements pursuant to sec. 148 of the Legislative Decree no. 58/1998. sec 13, Ministerial Decree 169/2000 and Corporate Governance Code for listed companies and it also verified the correspondence of Director respect to qualitative and quantitative Profile of the Board, also with regard to the maximum number of offices to be held, as well as the inexistence of any situation falling within the scope of sec. 36 of the D.L. no. 201/2011 ("no-interlocking").

The Board thus composed (6 members belonging to the female gender and 5 members belonging to the male gender) fully enhances compliance with and application of the regulations on gender balance, representing the first example among the companies listed on the FTSE MIB of a prevalence of female members.
