Item 5.02            Departure of Directors or Certain Officers; Election of Directors;
                     Appointment of Certain Officers; Compensatory Arrangements of Certain
                     Officers.

On December 31, 2021, Michael D. Goldberg, a director of eHealth, Inc. (the "Company"), notified the Company of his retirement from the Company's board of directors after serving for 22 years, effective immediately. Mr. Goldberg's decision was not due to any disagreement with the Company or any matter relating to the Company's operations, policies or practices. In connection with Mr. Goldberg's departure as a director, the Company has reduced the total number of authorized directors to nine members. The Company has benefited greatly from Mr. Goldberg's contributions during his tenure on the board of directors and thanks Mr. Goldberg for his service.
