DomaCom Limited (ASX:DCL) announced a private placement of an unlisted unsecured convertible security for gross proceeds of AUD 1,000,000 on January 15, 2018. The transaction will involve participation from Australian Special Opportunity Fund, LP, a fund managed by The Lind Partners, LLC. The company signed an agreement with the investor. The company can request up to an additional AUD 500,000 during the term of the security through the issue of a second convertible security subject to separate approval by the investor. The security has a principal amount of AUD 1,200,000 and will be repayable over 24 months with an initial repayment holiday of 120 days. The company will make 20 monthly repayments of AUD 63,000 in either shares or cash. The 20th and final payment is scheduled to take place in December 2019. The investor has the right to have the security repaid early at any time during the term by converting the balance of the convertible security into company’s shares. The company will pay the investor a commitment fee of AUD 50,000 and will issue the investor 3,700,000 options to purchase ordinary shares during the 20 trading days prior to the execution of the agreement with an expiry date of 36 months after the date of issue. A total of 2,000,000 shares of the company have been held as collateral. The transaction is not subject to shareholders' approval.
