Distribuidora Internacional de Alimentación, S.A. ("DIA" or the "Company"), in accordance with Article 227 of the consolidated text of the Securities Market Act and implementing regulations, hereby communicates and discloses the following:

RELEVANT INFORMATION

The Board of Directors has approved the appointment by co-optation of Ms. Basola Vallés Cerezuela as independent director of the Company.

Additionally with effect as of 14 January 2020, Mr Michael Casey has resigned from his position as member of the Board of Directors of the Company and, therefore, also as member of the Finance and Capital Structure Committee. The resignation obeys, as reported by him, to his need to meet personal and professional commitments that are difficult to reconcile with the dedication required for the performance of his duties in the Company.

As a result, the Board of Directors of the Company has seven members, with the following composition:

Chairman: Mr. Stephan DuCharme (external proprietary director).

Chief Executive Officer: Mr. Karl-Heinz Holland (executive director).

Members: Mr. Christian Couvreux (independent director).

Mr. Sergio Antonio Ferreira Dias (external proprietary director). Mr. Jaime García-Legaz Ponce (independent director).

Ms. Basola Vallés Cerezuela (independent director) Mr. José Wahnon Levy (independent director).

DIA Group appoints Basola Vallés

Independent Director

• Vallés has extensive experience both in the retail digital sector.
• This appointment further strengthens Independents on the Company's Board.

Madrid, January 15, 2020.The Board of Directors of DIA Group has approved the appointment of Basola Vallés, as an Independent Director. The Board has also approved the departure of Michael Casey as Director. Therefore, the Company's highest governing body will be made up of by seven members, of which four are Independent, two Directors and one Executive Director. Vallés provides strategic perspective from the technological arena thanks to her extensive experience in the digital and retail sector.

Vallés has over 25 years' experience working with multinational companies where she has held various positions in firms with a technological profile, retail and focus on customer service. Currently, she is the CEO of entradas.com, a position she has held since 2015. In addition, she is a member of the Advisory Board of ING Spain, Non-Executive director of Aegon Spain and an Advisor for innovation at Prosegur.
