Item 8.01 Other Events

Compass Group Diversified Holdings LLC and Compass Diversified Holdings (NYSE:
CODI) reported that CODI will make a cash distribution of $0.25 per common share
for the fourth quarter of 2022. The distribution is payable on January 26, 2023
to shareholders of record on the close of business on January 19, 2023. CODI
also announced that CODI will make a distribution on their 7.250% Series A
Preferred Shares (the "Series A Preferred Shares"), their 7.875% Series B
Preferred Shares (the "Series B Preferred Shares") and their 7.875% Series C
Preferred Shares (the "Series C Preferred Shares"). The distribution for the
Series A Preferred Shares, Series B Preferred Shares and Series C Preferred
Shares covers the period from and including October 30, 2022, up to, but
excluding January 30, 2023. The distribution for such period is payable on
January 30, 2023 to all holders of record of the Series A Preferred Shares,
Series B Preferred Shares and Series C Preferred Shares as of January 15, 2023.

Exhibit 99.1 and is incorporated by reference herein.
