General Ordinary and Extraordinary Shareholders' Meetings

Milan, March 23rd, 2012 - Buongiorno S.p.A. (FTSE Italia STAR: BNG), multinational leader at a global level in the development and management of paid apps and services for mobile devices, announces that the Shareholders' Ordinary and Extraordinary Meetings have been called for April 24th, 2012 at 9:00 a.m. (first call) at the Notary Office of Dott. Carlo Maria Canali in Parma, Via Verdi 6, and subsequently the second call of the Extraordinary Shareholders' Meeting has been set for April 26th, 2012 - same time and place - as per Art. 8 of the Company's By-Laws; the Ordinary and Extraordinary Shareholders' Meetings, respectively in second and third call have been called for April
27th, 2012 at 11:00 a.m. at the My Hotels Villa Ducale, in Parma, via Moletolo 53. The agenda of the meeting is as follows:

In the Ordinary Meeting

1. Approval of the Financial Statements for the year ended December 31st, 2011, relevant and ensuing resolutions;
2. Nomination of the subject for legal revision of company accounts for the 2012-2020 period;
3. Presentation of Buongiorno S.p.A.'s Compensation Report and vote regarding the Compensation Politics of Buongiorno S.p.A. (Section I of the Compensation Report), in accordance with art. 123-ter of Law n. 58/1998;
4. Authorization of buy-back and disposal of treasury shares, relevant and ensuing resolutions.

In the Extraordinary Meeting

1. Amendment of article no. 16 of the Company Articles of Association to comply with the new legal provisions, of which art. 147-ter, comma 1-ter of the Law n. 58/1998, regarding access to the administrative and controlling bodies of listed companies in regulated markets, relevant and ensuing resolutions.
The notice of call will be published in Il Giornale on March 24th.
