Blenheim Natural Resources plc (AIM:BNR) agreed to acquire 30% stake in Nashwan Holdings Ltd from Harry Sutherland for approximately £0.64 million on March 29, 2017. The consideration will be paid in cash consideration of £0.2 million and 75 million shares at 0.1 pence. The transaction will be financed by a placing of £1 million through equity shares of Blenheim. The completion of the acquisition of 30% stake in Nashwan is conditional upon the company's shareholders granting the directors the relevant authorities to allot and issue the consideration shares by April 30, 2017. Transaction is subject to consummation of due diligence, transaction is conditional upon Nashwan successfully being granted exploration licences over both its Menianbala and Djidje projects within 90 days of the date of the share purchase agreement between the vendor and Blenheim, or by such other date agreed between the parties. As of August 11, 2017, Nashwan holds Convention d'Etablissement permits for its prospective lithium project areas, Menianbala and Djidje, and consideration only becoming payable following the grant of the final exploration licenses at both Menianbala and Djidje. As part of the transaction, it has been agreed that £0.1 million of the cash consideration will be used to fund prospecting and exploration work on the licenses with no dilution to Blenheim's 30 per cent interest. Ministry of Mines in Mali has granted the Menianbala and Djidje exploration permits in the Bougouni region in Southern Mali.
