RESIGNATION OF A MANAGEMENT BOARD MEMBER
Milan - 5 October 2016 BPM would like to announce that, with effect from today, Giorgio Girelli has resigned as a member of the Management Board of Banca Popolare di Milano S.c.a r.l. ("BPM"). This is to ensure compliance with article 32 of BPM's Articles of Association and article 36 (prohibition of interlocking) of Legislative Decree 201/2011, converted with amendments by Law 214/2011.
In this regard, it should be noted - in accordance with the requirements of article IA.2.6.7 of the Market Regulation Instructions - that Giorgio Girelli (i) qualified as an independent director as defined in article 148, paragraph 3, of the CFA and as non-independent pursuant to article 3 of the Code of Conduct of Listed Companies; (ii) is the holder of 2,720 BPM shares; (iii) was a member of the Board's Risk Committee and of the Independent Directors' Committee for transactions with related parties.
On the same date, Giorgio Girelli also resigned from his position as Chairman of the Board of Directors of the subsidiary ProFamily S.p.A.
