Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On January 25, 2022, James R. Bender, President and Chief Operating Officer of AutoNation, Inc. (the "Company"), provided notice that he intends to retire from the Company, effective March 4, 2022. Effective upon Mr. Bender's retirement from the Company, Michael Manley, the Company's Chief Executive Officer, will assume all operating responsibilities previously held by Mr. Bender, until a successor is appointed.
