GRANT OF SHARE OPTIONS

This announcement is made pursuant to Rule 17.06A of the Rules Governing the Listing of Securities (the "Listing Rules") on The Stock Exchange of Hong Kong Limited (the "Stock Exchange").

The board of directors (the "Board") of Anton Oilfield Services Group (the "Company") hereby announces that on 7 January 2019, the Company has granted share options (the "Options") to certain eligible participants (the "Grantees") which, subject to the acceptance of the Grantees, will enable the Grantees to subscribe for an aggregate of 95,000,000 ordinary shares (the"Share(s)") of the par value of HK$0.10 each in the share capital of the Company under the share option scheme adopted by the Company on 26 May 2017.

The Grantees are entitled to subscribe for 95,000,000 new Shares upon full exercise of the Options at an exercise price of HK$0.79 per Share, which represents the highest of (i) the closing price of HK$0.79 per Share as stated in the daily quotation sheet issued by the Stock Exchange on the Date of Grant; (ii) the average closing price of HK$0.778 per Share as stated in the daily quotation sheets issued by the Stock Exchange for the five business days immediately preceding the Date of Grant; and (iii) the par value of HK$0.10 per Share.

Among the Options granted, the Options in respect of 6,184,922 Shares were granted to directors (the "Director(s)"), chief executives and substantial shareholder of the Company, details of which are as follows:

The Grantees who are the independent non-executive Directors may exercise their Options on or after 7 January 2020, details of which are as follows:

(i) Each Grantee may exercise not more than half of his respective Options granted during the period from 7 January 2020 to 6 January 2021; and

(ii) Each Grantee may exercise all of his respective remaining Options granted during the period from 7 January 2021 to 6 January 2025.

Other Grantees who are not the independent non-executive Directors may exercise their Options on or after 7 January 2020, details of which are as follows:

(i) Each Grantee may exercise not more than one third of his/her respective Options granted during the period from 7 January 2020 to 6 January 2021;

  • (ii) Each Grantee may exercise in total not more than two thirds of his/her respective Options granted during the period from7 January 2021 to 6 January 2022; and

  • (iii) Each Grantee may exercise all of his/her respective remaining Options granted during the period from 7 January 2022 to 6 January 2025.

Save as disclosed above, no other Grantees are the Directors, chief executives or substantial shareholders of the Company, or any of their respective associates (as defined in the Listing Rules). The relevant independent non-executive Directors have approved the grant of the above Options to the Directors, chief executive and substantial shareholder of the Company, save that each of the independent non-executive Directors had abstained from approving the resolution relating to the grant of Options to himself.
