American Caresource Holdings, Inc. (NasdaqCM:ANCI) acquired STAT Medical Care, P.C. and William & Teresa Medical Care, Inc. from Charles I. Okorie for $1.4 million on December 29, 2014. The purchase price is subject to certain adjustments. The purchase price is payable in cash and a $0.05 million promissory note. The promissory note is payable, plus accrued interest at the rate of 5% per annum, on the first annual anniversary of the closing date. The transaction is subject to execution of employment agreement and government approval. Stonecreek Capital Advisors, LLC acted as broker for American Caresource.

The Company's services provided at its centers include treatment of general medical problems, including colds, influenza, ear infections, hypertension, asthma, pneumonia, urinary tract infections and other conditions typically treated by primary care providers; treatment of injuries, such as simple fractures, dislocations, sprains, bruises and cuts; minor, non-emergent surgical procedures, including suturing of lacerations and removal of cysts and foreign bodies; diagnostic tests, such as x-rays, electrocardiograms, complete blood counts and urinalyses, and occupational and industrial medical services, including drug testing, workers' compensation cases and physical examinations.
