           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On January 21, 2021, American National Bankshares Inc. (the "Company") entered into an Amendment to Employment Agreement (the "Amendment") with H. Gregg Strader, which amends the Employment Agreement between the Company and Mr. Strader dated March 2, 2015 (the "Employment Agreement"). The Amendment provides for Mr. Strader to continue in his role as Executive Vice President and Chief Banking Officer of the Company through December 31, 2021. Other than as provided in the Amendment, the terms and conditions set forth in the Employment Agreement remain the same.
