Aldershot Resources Ltd. ("Aldershot" or the "Company") announces that it has agreed to sell to Royal
Resources Limited the tenements pursuant to the Joint Venture Heads of Agreement dated February 14,
2009 for a total consideration of $79,440 (excluding GST). The consideration paid shall be applied towards the outstanding loan owing by the Company to Royal and the Joint Venture Heads of Agreement will now
terminate.
The Company will focus on its four properties in the United States which include the Wray Mesa Project in western Colorado, the Elkhorn Project in north western Wyoming, the Alzada Project in south eastern Montana, and its recently purchased Green River South Project in eastern Utah.
Mike Leidich, Aldershot President and CEO said, "We have excellent uranium/vanadium properties in the United States that are amenable to both conventional and ISR recovery methods along with a great deal of data to analyse. The sale of Aldershot's interests in the Australian joint venture will enable us to concentrate our focus and engineering talent on these properties and resources that are closer at hand."
Royal Resources Limited is the controlling shareholder of the Company. The sale of the Company's 24% interest in the Joint Venture Heads of Agreement dated February 14, 2009 is considered to be a "related party transaction" as defined under Multilateral Instrument 61-101 ("MI 61-101"). The transaction will be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as neither the fair market value of the asset or the consideration paid by Royal Resources Limited will exceed 25% of the Company's market capitalization.
