(NYSE MKT: ADK) (NYSE MKT: ADK.PRA) (the "Company" or "AdCare"), announced today that it has filed with the Securities and Exchange Commission a resale Registration Statement on Form S-1 and a Post-Effective Amendment on Form S-1 to certain previously filed resale registration statements. Neither the Registration Statement nor the Post-Effective Amendment has yet been declared effective by the Securities and Exchange Commission. The Registration Statement and the Post-Effective Amendment relate to the resale of shares of common stock issuable upon the conversion of AdCare's Subordinated Convertible Notes and the exercise of certain warrants held by the selling shareholders named therein. The Subordinated Convertible Notes and the warrants are not newly issued, having been issued in prior transactions.

AdCare will not sell any securities pursuant to the registration statement and will not receive any proceeds from any resale by the selling shareholders of the shares of common stock covered by the registration statement.
